Early Adoption Participation (EAP) Agreement

These terms are effective as of November 1, 2024.

Thank you for your participation in our Early Adoption Participation (EAP) program!

Skigit's products and services are provided by Skigit, Inc. These EAP Terms of Service ("Terms") govern your access to and use of Skigit's products and services during the Early Adoption Participation period. Please read these Terms carefully. By accessing or using the Products, you agree to be bound by these Terms and by our other policies, including our Terms of Service, Business Terms of Service, Acceptable Use Policy, Copyright Policy, and Privacy Policy.

Translation: Every company has its terms. These are ours.

1. EAP Terms

These "EAP Terms" are an agreement between you and Skigit, Inc. These EAP Terms are effective as of the date you accept them (by clicking through online, signing an agreement, or using an EAP Product) and amend and supplement the Online Terms (as defined below).

2. EAP Product

Skigit may make certain products, services, or programs available to you on an early adoption or beta basis ("EAP Products" or "EAP Product"). Skigit retains exclusive ownership of all EAP Products. These EAP Terms are separate agreements for each EAP Product you access or use.

3. Feedback

You agree to provide Skigit with feedback, including suggestions, comments, ideas, issues, and other information regarding the EAP Product ("Feedback"). You agree to provide Feedback using Skigit's bug report features or other designated channels.

You agree not to disclose Feedback to any third party without Skigit's prior written consent. You hereby assign to Skigit all right, title, and interest in and to Feedback, or, if such assignment is not permitted by applicable law, you grant Skigit a non-exclusive, transferable, sub-licensable, royalty-free, worldwide, perpetual license to use, modify, and distribute Feedback in any manner.

5. Confidentiality

"Confidential Information" means any information disclosed by Skigit or accessed by you relating to an EAP Product, Feedback, Platform Data, and Product Terms (unless made public by Skigit). You agree:

  • Not to use Confidential Information except for the purpose of using or testing the EAP Product
  • To maintain strict confidence regarding Confidential Information
  • Not to disclose Confidential Information to any third party unless such third party is bound by confidentiality obligations at least as restrictive as those set forth in this section
  • That you are responsible for ensuring compliance with these obligations and for any breach thereof

You may not make any public announcements related to the EAP Product without Skigit's prior written approval.

6. EAP Product Terms

Product-specific terms ("Product Terms") may apply to your use of an EAP Product. Product Terms will be made available online or separately. These Product Terms will apply in addition to these EAP Terms. Online versions of Product Terms will supersede prior versions. Your continued use of the EAP Product after Product Terms are modified constitutes your agreement to the modified Product Terms.

7. Gift Eligibility

The first 100 registered users may be eligible for a free gift if they meet all of the following requirements:

  • Create a General user account on Skigit and maintain it in good standing for at least 60 days.
  • Post five Skigit-friendly videos and keep the account and all videos active for a minimum of 60 days. Each Skigit must be posted on at least three social networks (Facebook, Twitter (X), Tumblr, LinkedIn, or Pinterest) for 60 days on their feed.
  • Post the "Friend's Invite - Invite Social Friends Skigit EAP Invite" image to social feeds on Facebook, Twitter (X), and Tumblr. If no account exists, one must be created.
  • Provide a complete mailing address in their Skigit member profile for gift shipping.

8. Applicable Terms

You agree that your use of the EAP Product is subject to these EAP Terms, Product Terms, and other "Online Terms" (Skigit Terms of Service, Privacy Policy, Copyright Policy, Acceptable Use Policy, Business Terms of Service for business users). You must comply with all documentation provided by Skigit.

Any technical integrations with Skigit (code, APIs, SDKs, etc.) must be approved by Skigit before public release. Any terms or policies made available by you associated with your integration are deemed null and void with respect to Skigit.

9. Limitation of Liability

The limitation of liability set forth in the Online Terms applies to these EAP Terms. However, Skigit's aggregate liability for access to or use of the Product or these EAP Terms shall not exceed TEN DOLLARS ($10).

10. Expenses

Unless otherwise agreed in writing, each party is solely responsible for its own costs and expenses. You are solely responsible for supplying all necessary equipment, materials, and resources for accessing or using the EAP Product.

11. Disclaimer

Since the EAP Product is in an early adoption phase, it may contain errors, bugs, or other issues. In addition to the disclaimers set forth in the Online Terms, the Product and any data are provided "AS IS" and "AS AVAILABLE."

Skigit may change, withdraw, terminate access, or discontinue the Product at any time, in its sole discretion, with or without notice.

12. Miscellaneous

If these EAP Terms conflict with the Online Terms or Product Terms, these EAP Terms govern, followed by Product Terms, then Online Terms. The Online Terms (unmodified by these EAP Terms) still apply to your use of other Skigit Products.

The term "including" means "including without limitation."

Skigit may modify these EAP Terms at any time. Your continued use of the EAP Product after these EAP Terms are modified constitutes your agreement to the modified EAP Terms.
